Welcome to KEDAR InfoTech. These Terms and Conditions represent a legally binding agreement between you (“the Customer”, “you”, or “your”) and KEDAR InfoTech (“KEDAR”, “we”, “our”, or “us”). By accessing or using our websites, platforms, software, mobile applications, or any of the products and services we make available (collectively, “the Services”), you acknowledge that you have read, understood, and agreed to these Terms in their entirety. If you do not agree, you must immediately discontinue the use of the Services.

The Services provided by KEDAR are designed to unify IT operations and enterprise workflows into a single intelligent platform. These include, but are not limited to, IT Service Management (ITSM), IT Asset Management (ITAM), Enterprise Service Management (ESM), workflow automation, analytics and reporting tools, and integrations with third-party systems. These Terms govern your access to and use of these Services, set out our obligations to you, your obligations to us, and describe the rights and restrictions applicable to both parties.

Your eligibility to use our Services requires that you are of legal age to enter into a binding contract in your jurisdiction. Where you act on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. You are responsible for ensuring that all information provided during registration, subscription, or otherwise in connection with the Services is accurate, complete, and kept up to date. You also bear responsibility for the confidentiality of any credentials associated with your account and are accountable for all activity conducted under that account, whether or not you personally authorized it.

KEDAR grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Services strictly in accordance with these Terms and for the duration of your subscription or contract. This license is restricted to internal business operations and does not transfer any ownership rights in the software, underlying technologies, trade names, logos, or intellectual property of KEDAR. You acknowledge that all intellectual property rights remain vested solely in KEDAR and its licensors. You further agree that you will not copy, alter, reverse engineer, decompile, disassemble, or attempt to derive source code from any part of the Services, nor will you use the Services to build or assist in the construction of a competing product.

As a customer, you retain ownership of the data and content you submit through the Services. KEDAR processes this data solely for the purposes of delivering the Services and fulfilling contractual obligations. While your data remains yours, you grant KEDAR a limited right to host, store, transmit, and process it to provide technical functionality, support, and improvements to the Services. KEDAR does not sell customer data, but in the course of providing services, we may share it with trusted third-party providers such as cloud infrastructure partners, billing processors, or approved integration platforms. All such third parties are contractually bound to handle the data securely and in accordance with applicable privacy and data protection laws.

You acknowledge that fees and payment obligations apply to the Services as specified in your subscription plan or enterprise agreement. Unless otherwise stated, payments are required in advance and are non-refundable. You remain responsible for ensuring that payments are made in full and on time, including any taxes or levies that may apply. Late payments may result in suspension of services, additional charges, or termination of your account.

KEDAR undertakes to provide services with a high degree of availability, reliability, and security. However, you acknowledge that uninterrupted service cannot be guaranteed. System downtime may occur due to scheduled maintenance, updates, enhancements, unexpected outages, or circumstances beyond our control. While we make reasonable efforts to minimize disruption, you accept that occasional interruptions may occur. Where applicable, specific service-level agreements may supplement these Terms to define additional commitments around uptime and support.

All intellectual property associated with the Services, including software code, workflows, dashboards, documentation, and trademarks, belongs exclusively to KEDAR. Your use of the Services does not confer ownership rights. You may not remove or obscure copyright notices, disclaimers, or branding associated with the Services.

Confidentiality extends to all non-public information shared between you and KEDAR in connection with the Services. Both parties agree to protect such information with reasonable care and not to disclose it to any third party unless legally compelled or expressly permitted. This obligation survives termination of the Services.

The Services may interoperate with third-party systems such as integrations are provided to enhance functionality, but their use is at your discretion and subject to the terms and privacy policies of the third parties themselves. KEDAR is not liable for failures, data loss, or security incidents that arise from third-party integrations outside of our control.

You accept that the Services are provided “as is” and “as available.” To the maximum extent permitted by law, KEDAR disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Services will meet your exact requirements, operate without error, or be entirely free from interruptions or delays.

Limitation of liability is central to these Terms. To the fullest extent permitted by law, KEDAR shall not be liable for indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, revenue, goodwill, or data, regardless of the cause of action or theory of liability. In all cases, the total aggregate liability of KEDAR, whether in contract, tort, negligence, or otherwise, shall not exceed the fees you paid for the Services in the twelve months immediately preceding the claim. You acknowledge that these limitations are fundamental to the risk allocation agreed between the parties.

You agree to indemnify and hold harmless KEDAR, its affiliates, officers, employees, and agents from and against any claims, damages, or expenses arising from your misuse of the Services, violation of these Terms, or infringement of third-party rights. This includes legal fees reasonably incurred in connection with the defense of such claims.

Termination may occur either by you or by KEDAR. You may terminate by discontinuing use of the Services and cancelling your subscription. KEDAR may terminate or suspend your access immediately if you breach these Terms, fail to pay fees, engage in fraudulent or illegal activity, or threaten the security and integrity of the Services. Upon termination, all licenses granted under these Terms cease, and you must stop using the Services. Obligations related to confidentiality, intellectual property, indemnification, and limitation of liability continue beyond termination.

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without reference to its conflict of laws principles. For users located at 4845 Telluride Lane, Carrollton, Texas 75010, the jurisdiction falls under Denton County, Texas. Any disputes that cannot be resolved informally through good-faith negotiations shall be submitted to binding arbitration in Denton County, Texas, administered by the American Arbitration Association. The prevailing party in such proceedings shall be entitled to recover reasonable legal costs and fees.

KEDAR reserves the right to revise these Terms periodically to reflect changes in our business, services, or legal environment. The latest version will always be posted on our website, with the date of last revision indicated at the top. In the event of significant changes, we will notify users via email or platform announcements. Your continued use of the Services following updates constitutes acceptance of the revised Terms.
